Terms of Service for Flicker crypto trading signals platform. Understand your rights, responsibilities, and important disclaimers before using our educational trading tools.

These Terms of Service (the "Terms") form a binding agreement between you and Flicker. Please read them carefully — by creating an account or using the Services, you agree to them.

Important: Flicker is an educational and informational service. We are not a broker, dealer, exchange, financial advisor, or fiduciary. We do not provide investment, financial, legal, or tax advice. Cryptocurrency trading involves substantial risk of loss. See Section 8 for the full risk disclosure.

1. Who We Are

Flicker ("Flicker," "we," "us," or "our") is an independent project, currently operated informally pending formal entity formation, based in Armenia. For privacy, legal, or billing matters, contact us at [email protected] — we respond within 5 business days.

2. Agreement to Terms

By accessing or using the Flicker website (flicker.finance), mobile applications, APIs, and any related services (collectively, the "Services"), you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.

We may update these Terms from time to time. When we do, we'll change the "Last updated" date at the top, post the new version on this page, and — for material changes — give you reasonable advance notice (for example, by email or in-app notice). Continued use of the Services after changes take effect means you accept the updated Terms.

3. Eligibility

To use the Services, you must:

  • Be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher);
  • Have the legal capacity to enter into a binding contract;
  • Not be located in, ordinarily resident in, or a citizen of any country or region subject to comprehensive sanctions by the United Nations, European Union, United Kingdom, or United States (currently including, without limitation, Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, Luhansk, Kherson, and Zaporizhzhia regions of Ukraine), and not be on any government denied-party or restricted-party list;
  • Comply with all laws and regulations applicable to you, including those governing cryptocurrency in your jurisdiction.

We may verify your eligibility at any time and may suspend or terminate accounts that don't meet these requirements.

4. Description of the Services

Flicker provides:

  • Cryptocurrency market data, charts, and analysis;
  • Algorithmically generated trading signals and technical indicators;
  • Price alerts and customizable notifications;
  • Portfolio tracking, including optional read-only connections to supported exchanges;
  • Educational content and market commentary;
  • Free and paid (Pro) subscription tiers.

The current feature set, including what is available on the free tier vs. Pro, is described on our website and in the apps. We may add, change, or remove features at any time. We do not promise that any specific feature will remain available, and we do not provide trade-execution services — Flicker does not buy or sell cryptocurrency on your behalf, hold custody of your funds, or have access to your exchange withdrawal permissions.

5. Your Account

5.1 Creating and securing your account

You are responsible for:

  • Providing accurate information when you sign up and keeping it current;
  • Maintaining the confidentiality of your credentials;
  • All activity that occurs under your account, whether or not you authorized it;
  • Notifying us immediately at [email protected] if you believe your account has been compromised.

We require a verified email address. You may not create an account using someone else's identity, a disposable/automated address, or false information.

5.2 One account per person

Accounts are personal, non-transferable, and limited to one per individual. Account or subscription sharing — including sharing credentials, sharing Pro access, or operating an account on behalf of multiple people — is prohibited and may result in suspension. Commercial use beyond your own personal trading research requires a separate written agreement with us.

5.3 Closing your account

You may close your account at any time from account settings or by emailing [email protected]. We may suspend or close an account if you violate these Terms, if we suspect fraud or abuse, if required by law, or if we discontinue the Services. Closure does not entitle you to a refund of fees already paid except as required by applicable consumer-protection law (see Section 6.5).

6. Subscriptions, Billing, and Refunds

6.1 Plans and pricing

Current Pro subscription plans, prices, and billing cycles are shown on the subscription page in the Services and may vary by region, platform (web vs. App Store vs. Google Play), and currency. Prices are exclusive of taxes unless stated otherwise; you are responsible for any applicable taxes.

6.2 Auto-renewal

Pro subscriptions automatically renew at the then-current price for the same billing cycle (e.g., monthly or annual) until you cancel. Renewal charges are taken from the same payment method you used to subscribe. We will charge the renewal fee within 24 hours of the end of the current period.

You can turn off auto-renewal at any time:

  • Web subscriptions: in your account billing settings on flicker.finance.
  • App Store (iOS) subscriptions: in your Apple ID subscription settings (Settings → [your name] → Subscriptions). Apple controls iOS subscription renewals — we cannot cancel or refund iOS purchases on your behalf.
  • Google Play (Android) subscriptions: in the Google Play Store (Profile → Payments & subscriptions → Subscriptions). Google controls Android subscription renewals — we cannot cancel or refund Play Store purchases on your behalf.

If you cancel, your Pro access continues through the end of the current paid period and does not renew after that.

6.3 Free trials and promotions

We may offer free trials or promotional pricing from time to time. Unless we say otherwise, free trials automatically convert into a paid subscription at the regular renewal price when the trial ends, unless you cancel before the trial ends. Promotional terms are part of these Terms while the promotion is active.

6.4 Price changes

We may change subscription prices. For web-billed subscriptions, we will give you at least 30 days' advance notice (by email or in-app notice) before a price change takes effect on a renewal. For App Store and Google Play subscriptions, the relevant store's price-change rules apply.

6.5 Refunds and statutory rights

Web (crypto-billed) subscriptions. Payments are generally final once a billing period has started, except where applicable law gives you a stronger right (see below) or where we choose to grant a refund at our discretion (for example, for verified service outages or accidental duplicate charges).

App Store and Google Play subscriptions. Refunds are handled by Apple or Google under their respective policies. Please contact Apple Support or Google Play Support directly. We can help you investigate but cannot issue a refund for a store-billed purchase ourselves.

EU / UK / EEA consumers — 14-day right of withdrawal. If you are a consumer based in the European Union, the United Kingdom, or the European Economic Area, you have the right to withdraw from a paid subscription within 14 days of purchase, without giving a reason, by emailing [email protected]. By starting to use the Pro features during the withdrawal period, you agree that we may begin performing the service immediately, and you acknowledge that you lose the right of withdrawal once the service has been fully performed; for partial performance, you may owe a pro-rata amount.

California and other consumer-protection laws. Nothing in these Terms limits any non-waivable rights you have under the consumer-protection law of your jurisdiction (including California's Automatic Renewal Law).

7. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose, in any jurisdiction;
  • Share, sell, sublicense, redistribute, or republish our signals, alerts, content, data, or APIs;
  • Reverse engineer, decompile, disassemble, or attempt to extract the source code or underlying algorithms of the Services, except where this restriction is expressly prohibited by applicable law;
  • Use bots, scrapers, headless browsers, or any other automated means to access, scrape, or download the Services without our prior written permission;
  • Probe, scan, or test the vulnerability of the Services, breach any security or authentication measures, or interfere with the integrity or performance of the Services or the data they contain;
  • Manipulate identifiers, IP addresses, or headers to disguise the origin of any request;
  • Use the Services to send spam, malware, or otherwise harm or harass others;
  • Impersonate any person or entity or misrepresent your affiliation;
  • Resell access to the Services or use them on a service-bureau basis;
  • Use the Services in a way that violates any applicable export-control or sanctions law.

We may investigate violations and may take any action we deem appropriate, including suspending or terminating accounts, with or without notice.

8. Risk Disclosure and Educational Purpose

8.1 Educational only — not financial advice

FLICKER PROVIDES INFORMATIONAL AND EDUCATIONAL CONTENT ABOUT CRYPTOCURRENCY MARKETS. FLICKER IS NOT A BROKER-DEALER, EXCHANGE, INVESTMENT ADVISER, FUTURES COMMISSION MERCHANT, OR FIDUCIARY. Nothing in the Services constitutes investment, financial, legal, accounting, or tax advice. Nothing in the Services is a recommendation to buy, sell, or hold any cryptocurrency or other asset, or an offer or solicitation of any kind.

8.2 Cryptocurrency trading risk

Cryptocurrency trading involves substantial risk of loss and is not suitable for every person. You may lose some or all of the funds you commit to trading, and in the case of leveraged or margin products, you may lose more than you initially deposited. Cryptocurrency markets can be volatile, illiquid, and subject to sudden, extreme price movements. Network outages, exchange outages, regulatory action, and technical failures can prevent you from entering or exiting positions.

8.3 Signal accuracy and past performance

Signals, indicators, and analyses provided through the Services are generated automatically from market data and may be incomplete, inaccurate, delayed, or wrong. Backtested or historical performance is hypothetical and is not a reliable indicator of future results. Past performance does not guarantee, and is not indicative of, future results. No method of analysis can predict the market.

8.4 Your sole responsibility

You are solely responsible for your own trading decisions and any resulting gains or losses. Always do your own research and, if appropriate for your situation, consult a qualified financial, legal, or tax advisor in your jurisdiction before trading. Never trade with funds you cannot afford to lose.

9. Intellectual Property

9.1 Our rights

All content and functionality of the Services — including software, source code, signal-generation methodology, indicators, datasets, models, text, graphics, logos, trademarks, and overall design — is owned by Flicker or our licensors and is protected by intellectual-property and other laws. Nothing in these Terms transfers any ownership to you.

9.2 Your license

We grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial use, in accordance with these Terms. You may take screenshots and quote short excerpts of our content for personal commentary or social-media discussion provided you don't represent the content as your own and don't strip our attribution.

9.3 Feedback

If you send us suggestions, ideas, or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without obligation to you.

9.4 Copyright complaints

If you believe content on the Services infringes your copyright, please email [email protected] with the information required by your jurisdiction's notice-and-takedown procedure (in the U.S., DMCA 17 U.S.C. §512(c)).

10. Privacy

How we collect, use, and protect your personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you acknowledge our data practices as described there.

11. Third-Party Services and Exchange Connections

11.1 Third-party content

The Services may display data from, link to, or integrate with third-party services (including cryptocurrency exchanges, market-data providers, payment processors, and analytics providers). We do not control these services, are not responsible for their content or practices, and do not endorse them. Your use of any third-party service is governed by that service's terms and privacy policy.

11.2 Exchange connections

If you connect a third-party exchange account via API key (or similar mechanism):

  • You authorize Flicker to access read-only trading and balance data from that exchange for the purpose of displaying your portfolio inside the Services;
  • We do not request, store, or use withdrawal permissions, and you should not grant them. If you grant withdrawal permissions, you do so at your own risk and against our recommendation;
  • You are responsible for keeping your API keys secure and revoking them if your account is compromised;
  • We are not liable for losses, errors, downtime, or other issues caused by the exchange itself, by changes to the exchange's API, or by data inaccuracies received from the exchange.

12. Service Availability

We work to keep the Services available, accurate, and current, but we do not guarantee uninterrupted, error-free, secure, or timely operation. We may modify, suspend, or discontinue any part of the Services at any time, with or without notice. We may also impose usage limits or restrict access in our reasonable discretion (for example, to protect the Services or to comply with law).

13. Disclaimers and Limitation of Liability

13.1 Disclaimer of warranties

THE SERVICES, INCLUDING ALL CONTENT, SIGNALS, DATA, AND FEATURES, ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FLICKER, ITS AFFILIATES, AND ITS LICENSORS DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.

13.2 Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

  • FLICKER, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR TRADING OPPORTUNITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES;
  • IN NO EVENT WILL OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE THREE MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

WE ARE NOT LIABLE FOR YOUR TRADING LOSSES, MISSED OPPORTUNITIES, OR ANY DECISION YOU MAKE BASED ON OUR SIGNALS OR CONTENT.

13.3 Consumer rights preserved

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. To the extent any such exclusion or limitation cannot lawfully apply to you, the remaining provisions of this Section 13 still apply, and our liability is limited to the smallest extent permitted by your jurisdiction's law. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law (for example, liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation).

14. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Flicker, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Services;
  • Your violation of these Terms or any law;
  • Your violation of any third party's rights;
  • Your trading decisions or activities;
  • Any content, information, or data you submit through the Services.

15. App Store Additional Terms

These Terms apply when you obtain or use the Services through the Apple App Store or Google Play. The following provisions are in addition to, and prevail over, anything inconsistent in these Terms with respect to the relevant store.

15.1 Apple App Store

You acknowledge that these Terms are concluded between you and Flicker only — not with Apple Inc. ("Apple") — and that Flicker, not Apple, is solely responsible for the iOS application and its content. Apple has no obligation whatsoever to provide any maintenance or support for the iOS application. To the maximum extent permitted by law, Apple has no warranty obligation in connection with the iOS application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to a warranty are Flicker's sole responsibility.

Flicker, not Apple, is responsible for addressing any claims you or any third party may have relating to the iOS application or your possession or use of it, including (i) product-liability claims, (ii) any claim that the iOS application fails to conform to applicable legal or regulatory requirements, and (iii) claims arising under consumer-protection or similar laws.

In the event of a third-party claim that the iOS application or your use of it infringes that third party's intellectual-property rights, Flicker — not Apple — is solely responsible for the investigation, defense, settlement, and discharge of any such claim.

You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties. You must comply with the Apple Media Services Terms and any applicable third-party usage rules. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

15.2 Google Play

You acknowledge that these Terms are between you and Flicker only — not with Google LLC ("Google") — and that Google is not responsible for the Android application or its content. Your use of the Android application must comply with the then-current Google Play Terms of Service.

16. Geographic Restrictions

The Services are not intended for use in jurisdictions where they would violate applicable law. We may block access from certain countries or regions, with or without notice, including (without limitation) any jurisdiction subject to comprehensive sanctions referenced in Section 3. You are responsible for ensuring that your access to and use of the Services is lawful in your location.

17. Termination

17.1 Termination by you

You may stop using the Services and close your account at any time (Section 5.3).

17.2 Termination by us

We may suspend or terminate your access immediately, without notice or liability, if:

  • You materially breach these Terms;
  • We have a reasonable basis to believe your use of the Services creates risk to us, other users, or any third party (for example, fraud, money laundering, sanctions evasion, or hacking);
  • We are required to do so by applicable law or by a binding order from a court or regulator;
  • We discontinue all or part of the Services.

17.3 Effect of termination

On termination: your right to access and use the Services ends immediately; we may delete your account data per our Privacy Policy; accrued payment obligations and any provisions that by their nature should survive (including Sections 8, 9, 10, 13, 14, 15, 17.3, 18, 19, and 20) will survive termination.

18. Changes to These Terms

We may update these Terms by posting a new version on this page, updating the "Last updated" date, and — for material changes — giving at least 14 days' advance notice (by email or prominent in-app notice) before they take effect. If you do not agree to the updated Terms, you must stop using the Services before the effective date.

19. Governing Law and Dispute Resolution

19.1 Informal resolution first

Most issues can be resolved quickly. Before starting any formal dispute, please contact us at [email protected] and give us 30 days to address your concern.

19.2 Governing law

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the Republic of Armenia, without regard to its conflict-of-laws rules, except that mandatory consumer-protection laws of your country of residence will continue to apply to you to the extent they grant you rights that cannot be waived.

19.3 Jurisdiction

Subject to Section 19.4, you and Flicker agree that the courts of the Republic of Armenia will have exclusive jurisdiction over any dispute, except that Flicker may bring claims for injunctive or equitable relief in any court with proper jurisdiction.

19.4 Consumer venue carve-out

Nothing in this Section 19 deprives a consumer of the protection of mandatory rules of the country in which the consumer is habitually resident, including the right to bring proceedings in the consumer's local courts where applicable consumer law so provides.

19.5 Time limit on claims

Except where prohibited by applicable law, any claim arising out of or relating to these Terms or the Services must be brought within one (1) year after the cause of action arises; otherwise the claim is permanently barred.

20. General Provisions

  • Entire agreement. These Terms, together with our Privacy Policy and any additional terms we present (for example, for a specific feature, promotion, or beta), are the entire agreement between you and Flicker about the Services and supersede prior agreements about the same subject.
  • Severability. If any provision of these Terms is found unenforceable, the rest remains in full force and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving the parties' intent.
  • No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
  • Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law, on notice to you.
  • Force majeure. We are not liable for any delay or failure to perform that is caused by events outside our reasonable control, including internet outages, exchange outages, blockchain congestion, hostile network attacks, war, pandemic, regulatory action, or natural disaster.
  • Relationship of the parties. Nothing in these Terms creates any agency, partnership, joint venture, employment, or fiduciary relationship between you and Flicker.
  • Notices. We may send you notices by email to the address on your account or by prominent in-app or in-product notice. Notices to us must be sent to [email protected].
